Verdad Holdings Group is a capital advisory firm. We assist businesses and real estate sponsors in identifying, structuring, and securing debt financing from third-party capital sources.

Nothing on this Platform constitutes an offer to lend, a commitment to provide financing, or a guarantee that financing will be obtained.

3. AI Advisory Tool

Our Platform includes an AI-powered advisory tool designed to help users understand financing options, market conditions, and general capital structure concepts. This tool:

• Is provided for informational and educational purposes only
• Does not constitute financial, investment, legal, or tax advice
• Does not create an advisory relationship between you and VERDAD
• May not reflect current market conditions or be accurate in all circumstances

You should consult qualified legal, financial, and tax professionals before making any financing decisions.

4. Application and Information Submission

When you submit an application or inquiry through the Platform, you represent that:

• All information provided is accurate, complete, and not misleading
• You have authority to share any business or financial information submitted
• You are a business owner, authorized representative, or financial professional acting in a professional capacity
• You are 18 years of age or older

VERDAD reserves the right to decline to engage with any applicant for any reason.

5. Confidentiality

Information you submit to VERDAD in connection with a potential advisory engagement is treated as confidential. We will not share your information with capital sources without your authorization. We may discuss your transaction in general terms internally for purposes of evaluating fit and structuring our advisory approach.

6. No Guarantee of Results

VERDAD makes no representation or warranty that:

• Any financing will be obtained on your behalf
• Terms presented by lenders will meet your expectations or requirements
• Market conditions will remain favorable during your transaction process
• Any timeline for closing will be achieved

Capital markets are subject to rapid change. Our advisory services reflect our professional judgment and lender relationships at a given point in time.

7. Fees and Compensation

VERDAD's fee structure is disclosed in a written engagement agreement prior to the closing of any financing transaction. We do not charge application fees through this Platform. Depending on the engagement, fees may be paid by the client, by the lender or capital source, or by a combination of both. Any compensation received from a lender or capital source in connection with a client transaction will be disclosed to the client prior to closing.

8. Intellectual Property

All content on this Platform — including text, graphics, design, software, and brand elements — is the property of Verdad Holdings Group or its licensors. You may not reproduce, distribute, modify, or create derivative works from any Platform content without our express written permission.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Verdad Holdings Group, its founders, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or our services, including but not limited to loss of profits, loss of data, or failure to obtain financing.

Our total liability for any claim arising from use of the Platform shall not exceed the fees actually paid by you to VERDAD in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Verdad Holdings Group and its affiliates, officers, and employees from any claims, losses, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your breach of these Terms, or your submission of inaccurate or misleading information.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Bexar County, Texas.

12. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of the Platform constitutes acceptance of the updated Terms.
